These Website Terms ("Terms") govern your access to and use of the website operated under the Helixoid name, including its pages, text, graphics, diagrams, publications, downloads, and other publicly available content (the "Site").

The Site is operated by Helixoid LLC ("Helixoid," "we," "us," or "our").

By accessing or using the Site, you acknowledge these Terms. If you do not agree with them, please do not use the Site.

Scope of these Terms

These Terms apply only to the public Site and its content. They do not govern professional services, consulting engagements, software or systems delivered to clients, client portals, statements of work, proposals that have been formally accepted, support services, or other activities governed by a separate agreement.

If you or your organization has a written agreement with Helixoid concerning professional services, that agreement governs those services. If there is a conflict between these Terms and a signed client agreement concerning those services, the signed client agreement controls.

No professional-services relationship or contract formation

The Site is provided for general informational and business-development purposes.

Visiting the Site, reading its content, contacting Helixoid, sending us information, or scheduling a meeting does not by itself create a consultant-client, engineering, advisory, fiduciary, confidential, or other professional relationship between you and Helixoid.

A professional-services relationship is created only through a separate written agreement accepted by Helixoid and the applicable client through their authorized representatives.

Nothing on the Site constitutes acceptance of a purchase order, request for proposal, statement of work, or other proposed contractual terms.

No offer, professional advice, or reliance

Site content is general in nature. It is not a proposal, quotation, guarantee, commitment, or offer to provide services on particular terms.

The Site does not provide project-specific engineering, technical, medical, clinical, legal, regulatory, quality, cybersecurity, financial, or other professional advice. Information describing technologies, architectures, laboratory workflows, artificial intelligence, data systems, automation, cloud systems, or other technical subjects should not be treated as a substitute for an assessment of your particular requirements and circumstances.

Do not rely solely on Site content when making safety-critical, clinical, diagnostic, laboratory-validation, regulatory-compliance, production, security, or other decisions requiring professional judgment.

Descriptions of capabilities, technologies, prior work, examples, or potential outcomes are illustrative. Unless expressly stated in a signed client agreement, they are not warranties of a particular result.

Intellectual property and permitted use

Unless otherwise identified, the Site and its original content are owned by or licensed to Helixoid and may be protected by copyright, trademark, trade-secret, and other intellectual-property laws.

Subject to these Terms, Helixoid grants you a limited, non-exclusive, non-transferable and revocable permission to access the Site and to download or print reasonable portions of its content for your own legitimate informational, evaluation, or internal business use.

You may also share ordinary links to publicly accessible Site pages.

This permission does not authorize you to sell, license, republish, systematically reproduce, create a competing content service from, or commercially exploit Site content without our written permission. You may not remove copyright, trademark, attribution, or other proprietary notices from copies you are permitted to make.

No license to use the Helixoid name, logo, trademarks, service marks, or branding is granted except with Helixoid's prior written permission or as otherwise permitted by law.

All rights not expressly granted are reserved.

Acceptable use

You may not use the Site in a way that violates applicable law or infringes the rights of Helixoid or another person.

You also may not attempt to gain unauthorized access to non-public systems; interfere with the Site's operation or security; introduce malicious code; impersonate another person or organization; circumvent technical access controls; or use automated systems in a manner that materially burdens the Site or extracts substantial portions of its content for unauthorized commercial republication.

These restrictions are not intended to prohibit ordinary web browsing, legitimate research, accessibility technology, or conventional search-engine indexing.

External links and third-party services

The Site may contain links to websites, platforms, publications, software, or services operated by third parties. Helixoid does not control those services, and a link does not by itself constitute Helixoid's endorsement of the third party or its content.

Your use of an external service is subject to that provider's own terms, privacy practices, security measures, and availability.

Helixoid may, for example, provide an external link to Calendly or another scheduling provider so that visitors can request a meeting. Information you provide through that service may be processed by the scheduling provider under its own terms and privacy notice and may be made available to Helixoid for purposes of arranging and managing the meeting.

Using a scheduling link or arranging a meeting does not create a professional-services relationship or bind either party to enter into an engagement.

Privacy and current Site configuration

Please review our Privacy Notice, available at https://www.helixoid.com/privacy.html, for information about how personal information may be handled in connection with the Site and communications with Helixoid.

As of the Effective Date, the Site is intended to operate as a static website and does not include a Helixoid contact form, advertising pixels, analytics SDKs, or an embedded scheduling widget. The Site's hosting provider and related infrastructure may nevertheless process ordinary technical information needed to deliver, protect, and operate the Site, such as IP addresses, request information, and server logs.

If you follow a link to an external service such as Calendly, that service may collect or process information according to its own policies.

If Helixoid materially changes the Site's data-collection practices, the Privacy Notice should be updated accordingly.

Website availability and warranties

Helixoid aims to provide useful and accurate information, but website content may contain errors, become outdated, or be unavailable from time to time.

The Site and its content are provided on an "as is" and "as available" basis. To the extent permitted by applicable law, Helixoid disclaims warranties concerning the Site, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Helixoid does not warrant that the Site will always be available, uninterrupted, secure, error-free, or free from harmful components, or that all Site content will be complete, current, or appropriate for a particular purpose.

These website disclaimers do not modify any warranty or commitment expressly made by Helixoid in a separately signed professional-services agreement.

Limitation of liability

Nothing in these Terms excludes or limits liability to the extent applicable law does not permit that liability to be excluded or limited.

Subject to that qualification, Helixoid will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business opportunity, goodwill, or data, arising solely from or relating to your use of, or inability to use, the public Site.

To the extent permitted by applicable law, Helixoid's aggregate liability for direct claims arising solely from use of the public Site will not exceed US $100.

This limitation applies only to the public Site. It does not establish or alter any limitation of liability applicable to professional services, software, deliverables, confidential information, client data, or other matters governed by a separate agreement with Helixoid.

Nothing in this section is intended to exclude liability for fraud, willful misconduct, or other liability that cannot lawfully be waived or limited.

Indemnification

You agree to indemnify Helixoid against third-party claims, damages, and reasonable costs, including reasonable attorneys' fees, only to the extent caused by your unlawful use of the Site, your material breach of these Terms, or your intentional infringement or misappropriation of another person's rights through your use of the Site.

This obligation does not require you to indemnify Helixoid for Helixoid's own negligence, willful misconduct, or violation of law.

Helixoid will provide reasonable notice of a covered third-party claim and reasonable cooperation in its defense.

Copyright complaints and DMCA notices

Helixoid respects intellectual-property rights.

If you believe content appearing on the Site infringes copyright that you own or are authorized to enforce, please send a written copyright notice to:

A notice should include:

(1) your physical or electronic signature;
(2) identification of the copyrighted work you believe has been infringed;
(3) identification and location of the material you believe is infringing, with enough information for us to find it;
(4) your name and contact information;
(5) a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or applicable law; and
(6) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the owner's behalf.

Helixoid may investigate a notice and may remove or disable access to material while the matter is reviewed.

If Helixoid designates an agent under Section 512 of the U.S. Copyright Act, the designated agent's current information will be published here and maintained as required by applicable law.

Please do not identify a person or department as Helixoid's registered DMCA agent unless that designation has actually been registered with the U.S. Copyright Office.

Accessibility

Helixoid aims to make the Site usable by a broad audience, including people with disabilities.

If you experience difficulty accessing Site content or using a Site feature, please contact igor@helixoid.com and describe the issue. We will make reasonable efforts to address accessibility barriers and, where practical, provide the requested information in an alternative format.

Changes to the Site and these Terms

Helixoid may update the Site and these Terms as its website, business, and legal requirements change.

When these Terms are revised, the updated version will be posted on this page and the "Last Updated" date will be changed. Where appropriate, Helixoid may provide additional notice of a material change.

Your continued use of the Site after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.

Helixoid may suspend, restrict, modify, or discontinue all or part of the Site when reasonably necessary for maintenance, security, legal compliance, business changes, or protection against misuse.

Governing law and jurisdiction

These Terms and disputes relating specifically to use of the public Site will be governed by the laws of the State of MA, without regard to its conflict-of-laws principles.

Subject to applicable law, the state and federal courts located in MA will have exclusive jurisdiction over disputes arising from these Terms or use of the Site, and you and Helixoid consent to the jurisdiction of those courts.

This section does not change any governing-law, dispute-resolution, arbitration, or jurisdiction provision contained in a separately signed agreement governing professional services.

General terms

If a provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in effect.

A failure by Helixoid to enforce a provision of these Terms does not waive its right to enforce that or another provision later.

These Terms constitute the entire agreement between you and Helixoid concerning your use of the public Site. They do not supersede or modify any separately signed agreement between Helixoid and you or your organization concerning professional services or other business activities.

Nothing in these Terms creates a partnership, joint venture, employment relationship, agency, fiduciary relationship, or professional-services engagement.
